Marketing Executive Terms and Conditions

Version 2026-11 · Last updated 20 October 2026

These Marketing Executive Terms and Conditions (the "Terms") form a binding agreement between NaviaRide Tech Limited, a company incorporated in the Federal Republic of Nigeria ("NaviaRide", "we", "us" or "our"), and the individual who submits the marketing executive application form ("Executive", "you" or "your").

Please read these Terms carefully. By ticking the "Terms and conditions apply" box and submitting the application form, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not apply.

1. Definitions

  1. 1.1"Agent" means a car wash, mechanic or similar business that joins the NaviaRide Agent Program and is bound by the NaviaRide Agent Terms and Conditions.
  2. 1.2"Onboarded Agent" means an Agent whose sign-up form was submitted through your personal Onboarding Link while your account was Active, and whom NaviaRide's records show as linked to you. An Agent who signed up in any other way is not an Onboarded Agent, and NaviaRide will not re-assign an Agent to you after sign-up.
  3. 1.3"Onboarding Link" means the unique web link, containing your onboarding code, displayed on your executive dashboard.
  4. 1.4"Approved Driver" means a driver who (a) entered an Onboarded Agent's referral code in the NaviaRide application when creating their account, and (b) has had their driver application reviewed and fully approved by NaviaRide. A driver whose application is pending, incomplete, rejected, suspended or withdrawn is not an Approved Driver.
  5. 1.5"Active" means that NaviaRide has approved your application and your account has not been suspended, rejected or terminated.

2. Application and Approval

  1. 2.1Submitting an application does not entitle you to participate. NaviaRide may approve or reject any application at its sole discretion and is not obliged to give reasons.
  2. 2.2You may not onboard Agents, and no commission accrues to you, before NaviaRide approves your application or while your account is not Active.
  3. 2.3You warrant that all information you provide is true, complete and current, and you shall promptly update it if it changes.

3. Independent Contractor; No Employment

  1. 3.1You are engaged as an independent contractor on a commission-only basis. Nothing in these Terms creates, or shall be construed as creating, a contract of employment, partnership, joint venture or franchise between you and NaviaRide.
  2. 3.2You are not a worker, employee, staff member or officer of NaviaRide. You are not entitled to any salary, wage, retainer, transport or communication allowance, reimbursement of expenses, pension contribution, health insurance, leave, gratuity, severance or other employment benefit, whether under the Labour Act, the Pension Reform Act 2014, the Employees' Compensation Act 2010 or otherwise. Commission under clause 5 is your sole remuneration.
  3. 3.3You control the manner, hours and location of your work. NaviaRide does not supervise your activities and does not require any minimum level of activity.
  4. 3.4You are responsible for all costs you incur, including transport, data and airtime, and for your own safety, insurance and compliance with law while carrying out activities under these Terms.
  5. 3.5You have no authority to bind NaviaRide, to make any promise or representation on its behalf beyond the published terms of the Agent Program, to vary the Agent Terms and Conditions, or to receive any money on NaviaRide's behalf. You shall not describe yourself as a NaviaRide employee or staff member.
  6. 3.6Agents you onboard contract directly with NaviaRide. You are not their employer, supervisor or guarantor, and they are not your employees or sub-contractors.

4. Your Activities

  1. 4.1Your role is to identify suitable car washes, mechanics and similar businesses in Lagos State and the Federal Capital Territory, explain the Agent Program to them accurately, and assist them to complete the agent sign-up form through your Onboarding Link.
  2. 4.2Each Agent must complete and sign the Agent sign-up form personally, including reading and accepting the Agent Terms and Conditions and providing their own photograph. You shall not complete, sign or submit the form on an Agent's behalf without the Agent being present and consenting.
  3. 4.3You shall explain to each Agent that they earn only for drivers who enter the Agent's referral code when signing up, and you shall not promise any Agent earnings, payments or benefits other than those in the published Agent Terms and Conditions.

5. Commission

  1. 5.1Commission is calculated per Onboarded Agent, not per driver. For each Onboarded Agent you become eligible for: (a) one thousand Naira (₦1,000) when that Onboarded Agent has at least one (1) Approved Driver; and (b) a further two thousand Naira (₦2,000) when that Onboarded Agent has at least ten (10) Approved Drivers. The maximum commission payable in respect of any one Onboarded Agent is therefore three thousand Naira (₦3,000).
  2. 5.2NO COMMISSION WITHOUT APPROVAL: No commission is payable for onboarding an Agent alone, for drivers that an Onboarded Agent refers who are not Approved Drivers, or for drivers who did not enter the Onboarded Agent's referral code when signing up. Approval of drivers is at NaviaRide's sole discretion, and NaviaRide is under no obligation to approve any driver.
  3. 5.3Commission accrues only for milestones reached while your account is Active. A milestone reached while your account is pending, suspended, rejected or terminated does not give rise to commission.
  4. 5.4Each milestone in clause 5.1 is payable at most once per Onboarded Agent, regardless of the number of Approved Drivers in excess of the milestone.
  5. 5.5NaviaRide may void any commission connected with an Agent or driver that is fictitious, duplicated, related to you, induced by payment, or otherwise not genuine, and may recover any commission already paid in respect of it.
  6. 5.6All amounts are stated in Nigerian Naira and are inclusive of any applicable taxes. You are solely responsible for declaring and paying any income tax or other tax on commission you receive. NaviaRide may deduct or withhold any tax it is required by law to deduct or withhold.

6. Payment

  1. 6.1NaviaRide will pay eligible commission by bank transfer to an account in your name, after internal verification, and will use reasonable endeavours to do so within thirty (30) days of the milestone being reached.
  2. 6.2Your executive dashboard shows commission as Pending until paid. The dashboard is provided for convenience; NaviaRide's internal records are conclusive as to the amount of commission due, save for manifest error.
  3. 6.3NaviaRide may set off against, withhold or recover from future commission any amount paid to you in error or in respect of commission later voided under these Terms.

7. Conduct and Prohibited Practices

  1. 7.1You shall not: (a) register fictitious Agents or drivers, or Agents or drivers controlled by you or your relatives; (b) pay, offer or promise any money, gift or inducement to any Agent or driver to sign up or to use a referral code; (c) collect any fee, deposit or share of earnings from any Agent or driver; (d) make any false or misleading statement about NaviaRide; (e) offer or give any bribe or improper advantage to any person, including any NaviaRide staff member; or (f) breach any applicable law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.
  2. 7.2You shall keep your login credentials confidential and shall be responsible for all activity carried out through your account.
  3. 7.3You shall not use NaviaRide's name, logo or trademarks other than as provided or approved by NaviaRide in writing.

8. Confidentiality and Personal Data

  1. 8.1You shall keep confidential all non-public information about NaviaRide, its Agents, drivers and business that you obtain under these Terms, and shall use it only to perform your activities under these Terms. This obligation survives termination.
  2. 8.2NaviaRide will process your personal data as data controller in accordance with the Nigeria Data Protection Act 2023 and NaviaRide's Privacy Policy, for the purposes of administering these Terms, preventing fraud and paying commission.
  3. 8.3You shall process any personal data of Agents or drivers only as necessary to assist them to sign up, keep it secure, not retain copies after sign-up, and not disclose or sell it to any third party.

9. Suspension, Termination and Changes

  1. 9.1Either party may terminate this agreement at any time by notice. You may do so by notifying NaviaRide support. NaviaRide may suspend or terminate your account with or without notice, including for any breach of these Terms.
  2. 9.2Upon termination your Onboarding Link will stop working. Commission that became eligible before termination remains payable unless it is connected with a breach of these Terms. No commission accrues for milestones reached after termination.
  3. 9.3NaviaRide may amend these Terms or modify or end the programme by publishing updated terms on this page. Amendments take effect on publication and apply to milestones reached afterwards. If you do not accept an amendment, your sole remedy is to terminate under clause 9.1.
  4. 9.4The programme, and the commission payable under it, is discretionary and may be suspended, reduced or discontinued by NaviaRide at any time, with or without notice. Nothing in these Terms guarantees that the programme will continue, that any commission rate or milestone will remain unchanged, or that you will earn any minimum amount. You shall have no claim for compensation, loss of expected earnings or any other payment arising from the suspension, modification or end of the programme, save for commission that became eligible before that date.

10. Liability and Indemnity

  1. 10.1To the maximum extent permitted by law, NaviaRide shall not be liable to you for any indirect, incidental, special or consequential loss, or for any loss of profit, business or goodwill, arising out of or in connection with these Terms. NaviaRide's total aggregate liability to you shall not exceed the commission properly payable to you under these Terms in the three (3) months preceding the claim.
  2. 10.2You shall indemnify and hold NaviaRide harmless from any claim, loss, penalty or expense arising from your breach of these Terms, your negligence or wilful misconduct, any representation you make that is not authorised by NaviaRide, or any claim by you or on your behalf that you are or were an employee of NaviaRide.

11. Electronic Acceptance

  1. 11.1You agree that ticking the acceptance box and submitting the application form constitutes your electronic signature, has the same legal effect as a handwritten signature, and is admissible as evidence of your agreement under section 93 of the Evidence Act 2011.
  2. 11.2NaviaRide will keep a record of the version of these Terms you accepted, the date and time of acceptance and the IP address from which you accepted.

12. General

  1. 12.1These Terms constitute the entire agreement between you and NaviaRide regarding their subject matter and supersede any prior representation, promise or understanding, whether written or oral.
  2. 12.2You may not assign, transfer or sub-contract any of your rights or obligations under these Terms. NaviaRide may assign its rights and obligations to any affiliate or successor.
  3. 12.3If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No failure or delay by NaviaRide in exercising any right shall operate as a waiver of that right.
  4. 12.4These Terms are governed by the laws of the Federal Republic of Nigeria. The parties shall first attempt in good faith to resolve any dispute amicably within thirty (30) days. Any dispute not so resolved shall be referred to arbitration in Lagos by a sole arbitrator under the Arbitration and Mediation Act 2023, and the arbitration shall be conducted in English.
