1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and NaviaRide Tech Limited ("Company", "we", "us", "our") concerning your access to and use of the NaviaRide platform, including our mobile application, website, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use immediately.

IMPORTANT LEGAL NOTICE: THESE TERMS CONTAIN AN ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS. PLEASE READ THEM CAREFULLY.

2. Nature of the Service

NaviaRide provides a digital marketplace connecting independent vehicle owners ("Drivers") with individuals seeking cost-sharing transportation ("Passengers") along similar routes.

NaviaRide acts strictly as a technology facilitator. We are not a taxi service, transportation carrier, or employer of Drivers. We do not own, operate, or maintain vehicles used on the Platform.

DISCLAIMER: Drivers are independent contractors, not employees, agents, or partners of NaviaRide. We are not responsible for the conduct, actions, or omissions of any User, whether online or offline, including accidents, injuries, theft, or disputes between Users.

3. User Registration & Eligibility

To use the Platform, you must register for an account and agree to:

  • Age: Be at least 18 years old.
  • Accurate Information: Provide truthful, current registration and verification data.
  • Account Security: Keep credentials confidential; you are responsible for all activity under your account.
  • One Account: Maintain only one active account per person.

3.1 Driver Eligibility

  • Hold a valid driver's licence and maintain a roadworthy, insured vehicle.
  • Complete QoreID identity verification and NaviaRide vehicle inspection approval.
  • Maintain current licence, insurance, and roadworthiness documentation; expired documents may result in suspension.
  • Drivers are independent contractors responsible for their own taxes (including FIRS obligations), permits, and compliance with road traffic laws.

4. Prohibited Activities

Prohibited conduct includes, but is not limited to:

System Abuse

  • Circumventing security or rate limits
  • Reverse engineering or scraping
  • Automated bots or malicious code

Misconduct

  • Harassment, threats, or discrimination
  • False identity or forged documents
  • Illegal activity on or via the Platform

Commercial Misuse

  • Operating as an unlicensed commercial taxi
  • Off-platform payments to avoid fees
  • Reselling Platform data

Content Violations

  • Obscene, hateful, or infringing content
  • Spam or phishing
  • Submitting fraudulent KYC or vehicle documents

5. Payments, Fees & Taxes

NaviaRide uses Paystack for payments and payouts. By using the Platform, you agree to Paystack's terms.

Service Fees

Platform commission is deducted from trip fares as displayed in the app. Fees are non-refundable except where required by law or at our sole discretion.

5.1 Driver Wallet, Commission & Withdrawals

  • Driver earnings are credited to an in-app wallet after trip completion, net of platform commission.
  • Wallets may reflect negative balances from commission on cash trips; drivers below the minimum balance threshold may be restricted from new trips until topped up.
  • Withdrawals are subject to minimum amounts, tiered fees, and cooldown periods shown in the app. These policies may change with notice.
  • Drivers are responsible for accurate bank details. NaviaRide is not liable for Paystack payout failures caused by incorrect account information.

5.2 Cancellations & Refunds

Cancellation fees and windows are displayed in-app at booking time. Refunds are issued at NaviaRide's sole discretion for verified technical failures or safety incidents. No refunds for user misconduct, off-platform arrangements, or chargebacks arising from your actions.

Tax Obligations

Users are responsible for their own tax liabilities. We may report earnings to FIRS as required by law.

6. Intellectual Property & User Content

The Platform, including software, designs, trademarks, and content, is owned by NaviaRide or its licensors. You receive a limited, revocable, non-transferable licence to use the Platform per these Terms.

You grant NaviaRide a worldwide, royalty-free licence to use content you submit (photos, documents, chat messages, ratings) to operate, moderate, and improve the Platform. You represent that your submissions are accurate and that you have the right to share them.

7. Trip Safety, Tracking & Emergency Features

Assumption of risk: Road travel carries inherent risks. You assume ordinary risks associated with carpooling.

Emergency tools: In-app SOS and emergency contact features are supplementary. They are not a substitute for calling 112 or local emergency services. NaviaRide does not guarantee emergency response times.

Live tracking: GPS and ETA estimates are approximate. Maps and routing are provided by third parties (e.g., Google Maps) without warranty of accuracy.

Trip sharing: Share links are your responsibility. Do not share live trip links with untrusted parties.

8. Indemnification

You agree to defend, indemnify, and hold harmless NaviaRide Tech Limited, its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising from:

  • Your use of the Platform or interactions with other Users, including accidents, injuries, or property damage.
  • Criminal acts, assault, theft, or harassment committed by you.
  • Your violation of Nigerian law, including road safety, insurance, or tax regulations.
  • False or misleading KYC, licence, or vehicle documentation you submitted.
  • Chargebacks, payment disputes, or regulatory fines caused by your conduct.
  • Off-platform payments or arrangements you made with other Users.
  • Your infringement of NaviaRide's or any third party's intellectual property.

9. Limitation of Liability

Warranty disclaimer

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIARIDE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM:

  • Conduct of any User, including Drivers and Passengers.
  • Accidents, theft, or disputes during or related to a trip.
  • Off-platform payments or arrangements between Users.
  • Third-party service failures (maps, payments, KYC, telephony).
  • Inaccurate GPS, ETA, or routing information.

OUR AGGREGATE LIABILITY FOR ANY CAUSE WHATSOEVER SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NAVIARIDE IN THE SIX (6) MONTHS BEFORE THE CLAIM, OR (B) ₦10,000.

10. Platform Moderation & Termination

We may suspend or terminate any account at our sole discretion, with or without notice, for fraud, rate-limit abuse, expired driver documents, negative wallet balance, policy violations, or any conduct harmful to the Platform or other Users — without refund.

  • Driver verification decisions are at our discretion and may be revoked if documents expire or are found to be invalid.
  • Terminated Users may not re-register under another identity.
  • We may cooperate with law enforcement and pursue civil or criminal remedies.

11. Third-Party Services

Maps, payments, identity verification (QoreID), telephony, and hosting are provided by third parties subject to their own terms. NaviaRide is not liable for outages, errors, or data handling by those providers beyond our contractual obligations.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, with seat in Abuja, FCT.

Informal Resolution

Parties agree to attempt good-faith negotiation for at least thirty (30) days before formal proceedings.

Binding Arbitration

Unresolved disputes shall be referred to arbitration under the rules of the Lagos Court of International Arbitration (LCIA) or the Abuja Multi-Door Court House (AMDC), seated in Abuja.

Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in a class action, collective action, or representative proceeding against NaviaRide to the fullest extent permitted by law.

13. Miscellaneous

Force Majeure

We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, network outages, or third-party API failures.

Severability

If any provision is unenforceable, the remainder stays in effect.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and NaviaRide.
